    In recent years, the collaborative economy has emerged as an international phenomenon that has transformed various traditional sectors, covering different areas, from transportation and deliveries to accommodation and rentals of all kinds. In this context, short- and medium-term rental platforms like Airbnb have become more popular and affordable than traditional hospitality, as they allow thousands of people to rent a cozy space for very short periods of time. It is no secret that this tourism boom has improved the economies of hosts who have offered their spaces to meet the demand for accommodation, which in turn increases the supply of the service. However, issues and concerns have arisen from the traditional sector, as there is no specific regulation addressing this new business model. Furthermore, the lack of regulation for these platforms in Colombia has raised normative and general interest concerns, given the potential for unfair competition, since they are not playing by the same rules as hotels or traditional accommodation service providers. This includes issues like fiscal obligations, taxable and tariff bases, and strict regulations, among others. This research aims to analyze the current situation of these platforms in Colombia from a multifaceted perspective, investigating the implications of their impact on the economy and legislation.

    La figura del administrador de hecho en el derecho colombiano : retos de aplicación en las acciones de responsabilidad

    This thesis examines the figure of the de facto administrator in Colombian corporate law, based on the liability regime established in Laws 222 of 1995 and 1258 of 2008. A de facto administrator is a person who, without holding a formal position, carries out positive acts of management, direction, or administration within a company, and thus assumes the same duties and responsibilities as a formally appointed administrator. The study explores the key duties that govern their conduct—such as good faith, loyalty, and diligence—and how breaches of these duties may give rise to legal actions for damages caused. The research addresses the two main liability actions: the social action, aimed at compensating the company for harm to its assets, and the individual action, which allows shareholders or third parties to claim for personal damages. It also highlights the evidentiary challenges involved in obtaining a judicial declaration of de facto administration, and in proving a causal link between the breach of duties and the resulting harm. In addition, the work compares the Colombian approach with similar figures in other jurisdictions, such as Spain, France, and common law systems, emphasizing key differences—especially regarding the continuity of conduct and the level of control exercised. The paper concludes by proposing legal and statutory reforms to strengthen the application of this figure, ensuring both its effectiveness in protecting corporate interests and the legal certainty of those involved.

    La insolvencia empresarial y su impacto en los fideicomisos inmobiliarios : un estudio de la legislación en el marco del derecho colombiano

    This research critically examines the interaction between the corporate insolvency regime and real estate trusts in Colombia, aiming to identify regulatory gaps and propose harmonization measures to strengthen legal certainty in the market. The study explores the evolution of Colombian insolvency law, from its punitive origins to the consolidation of Law 1116 of 2006, which introduced reorganization as the primary mechanism to preserve viable companies. In parallel, it analyzes the consolidation of real estate trusts as an essential instrument for financing and executing construction projects, characterized by the creation of autonomous estates and asset separation, which foster confidence among investors and buyers. The research highlights the central tension between the principle of insolvency universality and fiduciary patrimonial autonomy, a conflict that has been addressed unevenly by the jurisprudence of the Supreme Court of Justice, the Constitutional Court, and the Superintendency of Companies. Using a qualitative approach based on normative, jurisprudential, and doctrinal analysis, complemented by comparative law elements, the study seeks to determine to what extent the assets subject to trust should or should not be included in the insolvency estate, and how to reconcile the protection of insolvency creditors with the rights of fiduciary beneficiaries. The findings allow the proposal of guidelines and normative alternatives that contribute to balancing conflicting interests and reinforcing confidence in the Colombian financial and real estate system.

    La protección jurídica de la gastronomía tradicional en Colombia a través de la propiedad industrial : caso de estudio la Lechona Tolimense

    This research analyzes the legal possibilities for protecting traditional Colombian cuisine, with an emphasis on the case study of “lechona tolimense” as a representative example of typical dishes in the country. The study provides a comprehensive analysis of the main applicable legal instruments, such as designation of origin (D.O.), trademarks in their various categories (collective, certification or country brand), and complementary figures such as the Colombian Gastronomic Seal and intangible cultural heritage. From a comparative law perspective, international mechanisms such as traditional specialties guaranteed (TSG) and geographical indications (GI) are also studied in order to identify good practices and strategies that can be replicated or adapted to the Colombian context. The analysis shows that, depending on the desired protection approach, Colombia has both industrial property and public law tools to support traditional gastronomic products and dishes. However, these concepts have been little explored and applied in relation to traditional cuisine, which limits their recognition, positioning, and preservation in national and international markets. It should also be noted that the protection of dishes should not be restricted solely to their name or designation through trademarks, but should also include the ancestral knowledge, techniques, and skills that determine their quality, identity, and cultural value. Finally, based on international experiences, it is proposed that Colombia should promote more robust initiatives to legally protect its gastronomic heritage, encouraging both the preservation of this knowledge and the local economic development and international positioning of national cuisine.

    Los criptoactivos en Colombia : fundamentos para su regulación y la protección de los usuarios

    The purpose of this paper is to analyze the importance and relevance of establishing regulation for crypto assets in Colombia, starting from a technical and legal analysis to determine whether crypto assets — specifically cryptocurrencies — are considered, under Colombian regulation, as foreign currency, financial assets, or commodities. Once the legal nature of these assets is established, the applicable type of regulation and its appropriate scope will be examined. The question of whether crypto assets should be regulated becomes increasingly relevant as the cryptocurrency market continues to develop and innovate to offer more products and services to individuals and businesses. It is estimated that more than 6.17 million people in Colombia, own cryptocurrencies (Statista). Given the high number of users — representing nearly 12% of the population —, it is essential to adopt responsible regulation to protect them. One of the key factors that make this analysis timely is that Colombia is the ninth country with the highest cryptocurrencies in the world, based on number of users and transaction volume. For instance, on the Buda.com platform, one of the most popular in Latin America, transaction volume in Colombia increased by 350% between 2019 and 2020, and the number of users rose by 125% in the same period. Additionally, the number of Colombian companies offering FinTech services related to crypto assets increased to 394 by June 2024. (Finnovista Fintech Radar Colombia). As adoption and usage grows, the discussion about regulating cryptocurrencies becomes more pressing. Such regulation should have a broad scope to address the diverse characteristics of cryptocurrencies, the services they offer, and the types of transactions users may carry out with them. Why regulate them? Regulation is necessary not only due to increased usage, transaction volume, related companies, and wide adoption among Colombians, but also because the underlying technology has proven efficient and resilient. After 16 years of existence and exponential growth in blockchain-based services, it is reasonable to assert that cryptocurrencies will continue to expand, much like the internet did two decades ago. Furthermore, for a country like Colombia, which seeks to attract foreign investment, enacting responsible regulation would be highly advantageous. It would not only provide legal security and guarantees for users but also foster an attractive environment for companies, encouraging the growth of this sector and the development of related technologies. In conclusion, the aim of this undergraduate thesis is to assess the viability of, and propose, a responsible regulatory framework that ensures certainty and protection for both users and companies engaging with cryptocurrencies.

    Mérito ejecutivo de la póliza de seguros. ¿Una verdadera protección al consumidor financiero?

    In today's commercial landscape, particularly in the financial sector, consumers constantly interact with various entities like banks and insurers. This widespread interaction can create power imbalances, leading to potentially abusive practices that leave financial consumers vulnerable. Therefore, a robust regulatory framework is crucial to safeguard their rights. This research focuses on numeral 3 of Article 1053 of the Colombian Commercial Code. This regulation was designed to empower policyholders or beneficiaries, allowing them to initiate executive proceedings if the insurer fails to object to their claim in a timely manner. Essentially, the policy acquires executive merit (or enforceability), transforming a dispute that would typically require a declarative judgment into a direct collection process. However, this seemingly protective measure sparks critical discussion. While the intent is positive, the legal consequences of this provision could, paradoxically, further disadvantage the consumer. If the tool fails to achieve its objective, the consumer's options for protection would be limited. To analyze this, the research will explore the rationale behind structuring executive action as a consumer protection mechanism. It will then define the executive merit of an insurance policy and its implications. Key components of the claim process against an insurer will be examined to understand what the regulation truly covers and what is needed for the factual scenario to lead to the expected legal outcome. Given that the regulation authorizes the claimant to pursue executive proceedings, this type of process and its underlying philosophy will be thoroughly analyzed from the financial consumer's perspective. Its requirements and elements will be reviewed to determine if there is a harmonious relationship between executive proceedings and this consumer protection tool. In summary, the regulation dictates that if an insurer fails to respond to a claim within one month, the policy gains executive merit. Finally, the research will explore the practical difficulties this situation presents for all involved parties (claimants, insurers, and judges), ultimately assessing whether this provision truly fulfills its purpose of protecting financial consumer rights.
