The study of EMMEs has generated a rich theoretical discussion, as classical approaches have had to be expanded to accommodate the analysis of these new contexts. One of these debates concerns value theory, which can no longer be understood solely through the logic of efficiency and competitive advantage, but rather as a relational, distributed, and situated construction among multiple actors. This thesis positions itself within an emerging discussion by proposing a critical perspective on how digital multilatina platforms create, capture, and extract value in environments characterized by high informality, algorithmic governance, and structural asymmetries. Through an in-depth qualitative case study and the combined use of interviews, document analysis, and social media analysis (SMA), this research characterizes how a digital multilatina defines its sources of value creation and capture, interacts with its stakeholders, and redistributes or concentrates the benefits generated. The methodological design makes it possible to connect the internal narratives of organizational actors with external perceptions regarding the legitimacy and sustainability of the business model. Five key dimensions are analyzed: sources of value creation and capture (individual, organizational, social), strategic value creation processes, internal and external mechanisms of value capture, dynamics of value extraction (financing, algorithms, data), and emerging categories such as the monetization of interaction, precarious working conditions, and technological governance. One of the most relevant findings is the formulation of structural duality, a permanent tension between the collaborative creation of value (through innovation, network effects, and modularity) and its extraction (through algorithmic control, data opacity, and risk externalization). This duality does not represent a temporary imbalance; rather, it constitutes a structural feature of platform capitalism in emerging markets and highlights the need to rethink ethical, regulatory, and theoretical frameworks from a situated, inclusive, and multistakeholder perspective. This perspective characterizes organizations in three main ways. Firstly, organizations are composed of distinct organizational units with unique features (Orton and Weick, 1988). Secondly, there are both tight and loose couplings between these organizational units (Heldal, 2010). Lastly, there exist coupling mechanisms that affect both the organizational units and their members (Beekun and Glick, 2001a). The SDA perspective also recognizes the coexistence of contradictions within organizations, which are seen as inherent aspects rather than undesirable elements (Weick, 1976; Orton and Weick, 1990). When examining the distinctive features, tight and loose couplings, and coupling mechanisms, the central concepts of SDAs, it is noteworthy that many analyses focus on only one of these aspects. Some studies concentrate solely on distinctive features, couplings, or coupling mechanisms. In certain cases, the analysis is further limited to either tight or loose couplings, or it explores only one specific type of coupling mechanism, such as regulatory, cultural, or structural. This narrow focus restricts the comprehensive understanding of organizational couplings. To overcome this limitation, this doctoral thesis recognizes the SDA perspective as a means to comprehend organizations holistically and in depth, thereby making the intelligible elements evident and the unintelligible elements more visible and observable. Consequently, this research employs an integrated approach to analyze the three central concepts of SDA and their relationship with organizational contradictions. It acknowledges that organizations are not monolithic and stable entities but rather complex systems that warrant examination from various angles. Based on this premise, the thesis proposes a more comprehensive form of organizational analysis, simultaneously considering the distinctive features, tight and loose couplings, and coupling mechanisms. Such questions arise from the intersection of the fields of strategy in management and institutional change in New Institutional Economics (NIE). This work analyzes, in a retrospective approach, the case of Argos, a cement company in the Colombian environment, between 1960 and 2007. The results contribute to the field of Corporate Political Activity (CPA), and they show how companies deal with two kinds of formal rules: those that guarantee property rights and those aimed at business regulation. Also, there are two different stages: definition of the rules and their application. Within this framework of classes and stages, nine corporate strategic actions were identified: to bring to attention, to support, to participate, to solicit, to promote, to modify, to lock, to secure, and to demand. As to the organizational structure from which companies intervene, a spectrum structure was identified.
