dc.descriptionEste estudio examina las figuras jurídicas aplicables a startups en etapas tempranas, con el objetivo de identificar los vehículos y tipos societarios más adecuados para promover un crecimiento enfocado en lograr un Exit. La investigación incluye una revisión de las estructuras legales en Estados Unidos, el país más influyente en el ecosistema emprendedor, y un análisis comparativo con la legislación colombiana para proponer soluciones y recomendaciones pertinentes. El análisis se centrará en tres áreas principales: (i) tipos societarios, (ii) acuerdos de accionistas, y (iii) vehículos de inversión. Estas categorías son clave para evaluar si las estructuras legales existentes en Colombia permiten a las startups operar eficientemente y alcanzar sus metas de crecimiento y escalabilidad. A través de esta investigación, se busca determinar si el marco jurídico colombiano es óptimo para el desarrollo de empresas emergentes o si existen barreras significativas que obstaculizan su progreso.
dc.description.abstractThis study examines the legal structures applicable to early-stage startups, with the aim of identifying the most suitable vehicles and corporate types to promote growth focused on achieving an exit. The research includes a review of the legal frameworks in the United States, the most influential country in the entrepreneurial ecosystem, and a comparative analysis with Colombian legislation to propose relevant solutions and recommendations. The analysis will focus on three main areas: (i) corporate types, (ii) shareholder agreements, and (iii) investment vehicles. These categories are key to evaluating whether the existing legal structures in Colombia allow startups to operate efficiently and achieve their growth and scalability goals. Through this research, the goal is to determine whether the Colombian legal framework is optimal for the development of emerging companies or if there are significant barriers that hinder their progress.
