Resumen
Agency problems in corporate law have been not only a legal but economic issue in American jurisprudence and court´s decisions. However this has been widely ignored by Colombian scholars, justices, and legislators. There has been a major concern on matters that are now secondary such as forms. Hence this paper intends to be an introductory manual to agency problems in the terms of Civil Law, describing American corporate forms and the institutions derived from it. When comparing with the Colombian corporate system there would always be a major interest on proposing solutions to problems in order to make corporate law more efficient and create a safe legal environment for investors.
