    In the present work of degree was developed the process to create the Corporate Governance for Inversiones Solazz SAS, seeking to elaborate the necessary guidelines to improve the administrative work of the company -- Several authors were consulted on the subject, explaining the different concepts on corporate governance, to clarify the necessary components for the preparation of this document -- The diagnosis of the initial situation of the company was prepared, which gave rise to the approach to the structure of governance, emphasizing the importance of risk control -- Meetings with officials and partners were of vital importance; who provided the necessary tools for the preparation of functions manual, code of ethics, mission, vision and corporate values -- Finally, as result of the case study, a proposal was presented to the company on the corporate governance guidelines applicable to its management
