    La cláusula del cambio material adverso

    The Material Adverse Clause is used in mergers and acquisitions with the intent to allow the parties to determine the acquirer’s possibility to terminate the contract without incurring in breach of contract. This Clause has had its main development in The United States, especially through jurisprudence of the Delaware Court, that seek to resolve conflicts when an acquirer alleges the existence of a material adverse change in order to terminate the contract. From these, the essential elements will be taken into account in order to understand the concept and legal effects, and from here on, analyze the possibility of using it and applying the Clause and concept of the material adverse change in Colombia.

    Emprendedores, no abogados : Legal Design como estrategia para fortalecer el emprendimiento en Colombia

    The purpose of this paper is to undertake a Legal Design process taking into account the pre-existent research on the barriers to incorporate and sustain entrepreneurships in Colombia. A mapping of the barriers to entrepreneurship in Colombia will be carried out, as well as the existing norms regarding entrepreneurship in Colombia, and the needs of the project's target audience will be identified through interviews. The Legal Design process will be selected for its subsequent execution and construction. All of the abovementioned, with the purpose of reaching conclusions and approaches towards a design prototype that allows entrepreneurs to relate in practice with their legal environment.

    Mecanismos para proteger una empresa familiar ante el cambio generacional : caso CLORSA Ltda.

    In this document was studied the case of Clorsa Ltda., a family business that is in process of succession. The mechanisms and tools that are implemented were objectively and subjectively analyzed, and in the literature was investigated about which ones can be used in the long term to protect it from generational changes and other intrinsic problems of this type of organization. Shortcomings such as nepotism and other vices were found that can lead to undesired results. Finally, there were made suggestions about the possible measures to be implemented to increase the chances of survival and some tools to verify their effectiveness. The mechanisms found are presented only as a suggestion, since it was found that there is no one effective way to guarantee the longevity of the company and implementing them is at the discretion of the organization.

    Ofertas públicas de adquisición y reacción de precios en Suramérica

    In the present investigation the behavior of stock prices involved in an Initial Public Offering in the Colombian, Chilean and Peruvian markets is analyzed. For this, a quantitative analysis to determine the impact of the IPO announcement was made. The information of the transactions of the three markets in the last ten years was collected and a database was built with the most relevant information. Subsequently, the time series with the prices of the stock 6 months before and after the IPO announcement was designed. Finally, based on the gathered information, the control premium and the reversion rate of said prices were determined. The results indicate that the average price increases significantly in anticipation and after the announcement to later return to levels close to the observed pre-IPO to the announcement.

    This monograph analyzes some of the labor problems that may arise within entrepreneurial groups. Firstly, we explain the figure of entrepreneurial groups and the characteristics of their configuration; secondly, we discussed the disadvantages that arise when harmonizing the rules governing labor relations with the current commercial legislation on the types and presumptions of corporate control; thirdly, we will analyze the consequences of the improper exercise of the power of subordination on entrepreneurial groups. Finally, we will talk about the problems in the collection of claims caused by the liquidation of a company related to entrepreneurial group are.
